Please read these Terms of Service (“Terms”) carefully before using the KareerKomet platform. By creating an account or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Section 1

Parties & Agreement

These Terms form a legally binding agreement between you (“you” or “User”) and KareerKomet, LLC (“KareerKomet,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Indiana and operating at kareerkomet.com (the “Platform”).

Users of the Platform include employers (companies and individuals who post job listings), job seekers (individuals who browse listings and submit applications), and visitors (anyone who accesses the Platform without an account). Certain provisions of these Terms apply specifically to employers or job seekers and are identified as such.

If you are using the Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and “you” refers to both you individually and that entity.

These Terms incorporate by reference our Privacy Policy, Cookie Policy, DMCA Policy, and Accessibility Statement, each available on the Platform.

Section 2

Description of Services

KareerKomet is a third-party hiring platform and job board. We provide technology that allows employers to post job listings and job seekers to create profiles and submit applications. We also offer optional paid services to employers, including advertising services and other add-on services described in these Terms.

KareerKomet is not an employer, staffing agency, or employment agency. We do not participate in employment decisions, do not guarantee that any listing will result in a hire, and do not guarantee that any application will result in employment.

The relationship formed through the Platform is solely between the employer and the job seeker. KareerKomet is not a party to any employment relationship, job offer, or hiring decision that results from use of the Platform.

We may add, modify, or discontinue features of the Platform at any time. Features identified as beta, preview, or early access are provided without warranty of any kind and may be changed or removed without notice.

Section 3

Account Registration

To access most features of the Platform, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information to keep it accurate
  • Keep your password confidential and not share it with anyone
  • Notify us immediately at support@kareerkomet.com if you suspect unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

You must be at least 18 years of age to register for an account. Accounts are for individual use or authorized organizational use only and may not be transferred to another party without our written consent.

We reserve the right to refuse registration or suspend an account at our discretion, including for violation of these Terms or applicable law.

Section 4

Employer Accounts & Authorized Users

Account owner

Each employer account has a single account owner, who is the individual who created the account or to whom ownership has been transferred with our consent. The account owner is responsible for the account, including all subscription fees, purchases, and the conduct of all authorized users.

Authorized users

The account owner may invite additional individuals (“authorized users” or “team members”) to access the employer account, subject to the user limits of the applicable subscription plan. By inviting an authorized user, the account owner represents that the individual is affiliated with the employer’s organization and is authorized to act on the employer’s behalf within the Platform.

Responsibility for authorized users

The employer is fully responsible for all actions taken by its authorized users, including job listings posted, messages sent, applicant data accessed, purchases made, and any violation of these Terms. Each authorized user is also individually bound by these Terms.

Access and removal

The account owner may remove an authorized user at any time through the dashboard, and is responsible for promptly removing individuals who leave the organization or no longer require access. We are not responsible for actions taken by an authorized user whose access the employer failed to revoke.

Invitations

Invitations are sent to an email address supplied by the employer and may expire if unaccepted. The employer is responsible for the accuracy of email addresses it provides and for ensuring invitations are not sent to unintended recipients.

Section 5

Employer Terms

This section applies to users who register as employers on the Platform.

Employer eligibility

To post job listings, you must register as an employer and provide accurate information about your company. By creating an employer account, you represent that you are authorized to post job listings on behalf of the identified company or organization and that the company is a legitimate business engaged in lawful hiring activity.

Job listing requirements

All job listings must accurately describe a genuine open position at the time of posting. Listings must include, at minimum, a job title, description of responsibilities, and employment type. Listings must not misrepresent the nature of the position, compensation, required qualifications, or employer identity. You agree to remove or close any listing promptly when the position is filled or no longer available.

Prohibited listings and conduct

You may not post listings that:

  • Are for positions that do not exist or are not actively being filled
  • Contain discriminatory requirements or preferences based on race, color, religion, sex, national origin, age, disability, genetic information, sexual orientation, gender identity, or any other characteristic protected by federal, state, or local law
  • Require payment from job seekers as a condition of applying or being considered
  • Advertise multi-level marketing arrangements, pyramid schemes, or business opportunities that are primarily recruitment-based
  • Contain false, misleading, or deceptive information about the position, compensation, or company
  • Violate any applicable federal, state, or local employment law or regulation

KareerKomet reserves the right to remove any listing that violates these requirements without notice and to terminate accounts that repeatedly post prohibited listings.

Equal employment opportunity compliance

As a condition of using the Platform, all employers agree to comply fully with all applicable federal, state, and local equal employment opportunity laws and regulations, including but not limited to:

  • Title VII of the Civil Rights Act of 1964
  • The Age Discrimination in Employment Act (ADEA)
  • The Americans with Disabilities Act (ADA) and ADA Amendments Act
  • The Equal Pay Act
  • The Pregnancy Discrimination Act
  • The Genetic Information Nondiscrimination Act (GINA)
  • All applicable state and local equivalents, including Indiana anti-discrimination laws

Employers are solely responsible for their own compliance with these laws. KareerKomet does not provide legal compliance advice and is not responsible for ensuring that any employer’s hiring practices comply with applicable law. The inclusion of a job listing on the Platform does not constitute KareerKomet’s endorsement of or representation that the listing complies with applicable law.

KareerKomet does not discriminate against job seekers and prohibits employers from using the Platform to do so. Listings containing discriminatory language will be removed and the associated employer account may be terminated.

Employer responsibility for hiring decisions

All hiring decisions are made solely by employers. KareerKomet does not screen, verify, or vet job seekers on employers’ behalf (beyond standard platform features), does not endorse any job seeker’s suitability for any position, and is not responsible for the outcome of any hiring process initiated through the Platform. Employers are responsible for conducting their own background checks, reference checks, skills assessments, and any other due diligence they require.

If you conduct background checks, credit checks, or consumer reports on applicants, you are solely responsible for compliance with the Fair Credit Reporting Act (FCRA) and any applicable state equivalents, including all required disclosures, authorizations, and adverse action procedures. KareerKomet does not provide consumer reports and is not a consumer reporting agency.

Handling of applicant data

When a job seeker applies to your listing, you receive access to personal information they have chosen to share, which may include their name, contact information, work history, education, and resume (“Applicant Data”).

You agree that you will:

  • Use Applicant Data solely to evaluate the applicant for the position applied to, and for related, lawful recruiting purposes within your organization
  • Not sell, rent, license, or otherwise disclose Applicant Data to any third party, except to service providers acting on your behalf in the hiring process and bound by comparable obligations
  • Not use Applicant Data to send marketing, promotional, or other unsolicited commercial communications
  • Not add applicants to marketing lists, newsletters, or automated outreach campaigns without their separate, express consent
  • Not scrape, bulk-export, or systematically harvest job seeker profiles or Applicant Data from the Platform
  • Maintain reasonable administrative, technical, and physical safeguards to protect Applicant Data
  • Comply with all applicable data protection and privacy laws in your handling of Applicant Data
  • Retain Applicant Data no longer than reasonably necessary for the hiring purpose, and delete it upon a valid request from the applicant where required by law

Misuse of Applicant Data is a material breach of these Terms and may result in immediate account termination without refund, in addition to any other remedies available to us.

Section 6

Subscription plans & billing

Access to certain Platform features requires a paid subscription plan. KareerKomet offers a free employer plan and paid plans as described on our Pricing page. By subscribing to a paid plan, you agree to the following:

Billing and auto-renewal. Subscription fees are billed monthly in advance to the payment method you provide. Your subscription automatically renews each month and your payment method will be charged the then-current subscription fee at the start of each billing period until you cancel. All fees are in U.S. dollars. Payment processing is performed by Stripe, Inc. and is subject to Stripe’s terms and privacy policy. By providing a payment method, you authorize us and our payment processor to charge the applicable fees each billing period until you cancel.

Taxes. All fees are exclusive of applicable sales, use, or similar taxes. Where we are required to collect such taxes, they will be added to your charges.

Plan changes. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and the fee difference for the remainder of the current billing period is prorated and charged at the time of upgrade. Downgrades take effect at the start of the next billing period. Plan changes may affect your Ad Credit as described in Section 7.

Cancellation. You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period. Following cancellation, your account reverts to the free tier, your listings will be reduced to the free plan limit, and any unused Ad Credit is forfeited as described in Section 7.

Failed payments. If a payment fails, we may retry the charge. If payment remains unsuccessful, we may suspend or downgrade your account and pause any active advertising campaigns. You remain responsible for amounts owed. Ad Credit is granted only upon successful payment; a failed or reversed payment does not generate Ad Credit, and Ad Credit already granted in connection with a payment that is later reversed, refunded, or charged back may be revoked.

Chargebacks. If you initiate a chargeback or payment dispute, we may suspend your account and pause all services, including advertising campaigns, pending resolution. We encourage you to contact us at support@kareerkomet.com before disputing a charge.

Refunds. We do not issue refunds for subscription fees except where required by applicable law, or in our sole discretion in cases of documented billing errors.

Price changes. We may change subscription pricing with 30 days’ notice. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.

Section 7

Advertising Services & Ad Credit

7.1 What advertising services are

KareerKomet offers optional advertising services in which we create, place, and manage paid advertising campaigns promoting your job listings or employer brand on third-party advertising platforms, currently Google Ads and Meta (Facebook and Instagram) (“Ad Platforms”). You may elect to direct your advertising to Google, to Meta, or to a split between them.

We may also offer on-Platform promotional features (such as featured employer placement, featured job listings, or urgent hiring badges). Unless expressly stated otherwise, on-Platform promotional features are included with your subscription plan or purchased separately, and are not funded by Ad Credit.

7.2 Ad Credit

“Ad Credit” is a promotional advertising credit denominated in U.S. dollars that KareerKomet applies toward media spend on Ad Platforms on your behalf. Ad Credit comes in two forms:

Included Ad Credit. Certain subscription plans include a monthly allotment of Ad Credit as part of the plan, as described on our Pricing page. Included Ad Credit is:

  • Granted only upon successful payment of the subscription fee for that billing period
  • Valid for use during that billing period and through the end of the immediately following billing period (a one-period grace window), after which any unused portion expires
  • Not cumulative beyond that grace window; it resets each billing period and does not roll over indefinitely
  • Forfeited immediately upon cancellation, downgrade to a plan without Included Ad Credit, suspension, or termination of your account
  • Of no cash value, non-refundable, non-transferable, and not redeemable for cash, account credit, or any other form of consideration

Purchased Ad Credit. You may purchase additional Ad Credit at any time, on any plan, including the free plan. Purchased Ad Credit is:

  • Granted upon successful payment
  • Valid for 180 days from the date of purchase, after which any unused portion expires
  • Of no cash value, non-refundable, and non-transferable
  • Not redeemable for cash, account credit, or any other form of consideration
  • Forfeited upon termination of your account for violation of these Terms

Not a deposit or stored value. Ad Credit is a promotional credit toward advertising services and is not a deposit, prepayment, gift card, gift certificate, stored-value instrument, or general-purpose credit. We do not hold Ad Credit as funds on your behalf, and Ad Credit does not create any obligation to remit money to you under any circumstances.

Order of use. Where you hold multiple forms of Ad Credit, we apply the credit expiring soonest first.

7.3 How Ad Credit is applied

No management fee: One hundred percent (100%) of your Ad Credit is applied as media spend on the Ad Platforms. KareerKomet charges no separate management fee for creating and managing your campaigns; campaign management is included with your subscription purchase.

Deployment. We will apply Ad Credit as media spend up to the available credit amount during the applicable period. Ad Platforms bill in variable increments and campaign delivery cannot be controlled to the exact dollar. Minor unspent remainders resulting from platform billing behavior remain available as Ad Credit during the applicable validity window and are applied to subsequent campaign activity. We do not guarantee that the entire credit amount will be deployed within any given period.

Timing. Campaigns are typically launched within five (5) business days after your subscription payment or Ad Credit purchase and after we have received any information or assets required from you. Delays caused by your failure to provide required information or Ad Platform review timelines are not our responsibility, and Ad Credit continues to be subject to its expiration terms during any such delay.

7.4 License to use your brand in advertising

By purchasing or receiving Ad Credit and electing to use our advertising services, you grant KareerKomet a limited, non-exclusive, royalty-free license to use your company name, trademarks, service marks, logos, brand assets, job listing content, images, and other materials you provide or publish on the Platform (“Employer Marks”) solely for the purpose of creating, placing, and managing advertising campaigns on your behalf, and for reporting on those campaigns to you.

You represent and warrant that you own or have the necessary rights to the Employer Marks and that our use of them as authorized here will not infringe the rights of any third party. This license terminates when your advertising services end, except that we are not required to remove Employer Marks from campaign records, archived reports, or materials already delivered.

You are solely responsible for the accuracy and legality of the Employer Marks and any content you supply for use in advertising.

7.5 Ad Platform terms and targeting limitations

Advertising campaigns are subject to the terms, policies, and review processes of the Ad Platforms, which we do not control. You acknowledge that:

  • Ad Platforms may reject, restrict, pause, or remove ads at their discretion, and may suspend advertising accounts
  • Ad Platforms classify employment advertising as a special or restricted category, which materially limits the targeting options available. Targeting by age, gender, and certain geographic and interest-based criteria is restricted or prohibited by the Ad Platforms for employment ads. Campaigns will therefore be broader and less precisely targeted than non-employment advertising
  • Ad Platform policies, pricing, auction dynamics, and available features may change at any time without notice to us
  • If an Ad Platform rejects or removes your campaign, the affected Ad Credit remains available as Ad Credit (subject to its expiration terms) for redeployment, but is not refundable in cash
7.6 Ad accounts and campaign assets

Advertising campaigns are created and managed within advertising accounts owned and controlled by KareerKomet. You do not acquire any ownership interest in, or right of access to, those advertising accounts, and you have no right to transfer campaigns, campaign history, ad account balances, or accumulated platform learning to your own advertising accounts upon termination.

You retain ownership of the Employer Marks and any creative assets you supply to us. We retain ownership of campaign structures, ad copy, and creative that we produce.

7.7 No performance guarantee

KareerKomet makes no representation, warranty, or guarantee regarding advertising performance, including impressions, reach, clicks, cost per click, applications, applicant quality, hires, or return on advertising spend. Advertising outcomes depend on factors outside our control, including Ad Platform auction dynamics, labor market conditions, competition, and the nature of your job listings.

7.8 Reporting

We provide reporting on advertising activity through your employer dashboard and through periodic (typically monthly) summary reports. Reporting reflects data provided by the Ad Platforms and by our internal records. Reporting is provided for informational purposes; minor discrepancies between our reporting and Ad Platform data may occur due to differences in attribution, time zones, and data processing.

7.9 Suspension and termination of advertising

We may pause, suspend, or terminate advertising campaigns at any time if: your payment fails or is reversed; your account is suspended or terminated; your job listings violate these Terms; an Ad Platform requires it; or continuing the campaign would, in our reasonable judgment, expose us to legal or reputational risk. Ad Credit affected by a suspension caused by your breach of these Terms is forfeited.

7.10 Refunds

Ad Credit is non-refundable. Ad spend deployed on Ad Platforms is non-refundable once campaigns have begun delivering impressions. In the event of a documented billing error, we may issue a refund or credit at our sole discretion.

Section 8

Additional Services & One-Time Purchases

We offer optional add-on services to employers and job seekers, which may be purchased individually and are described at the point of purchase (“Services”). By purchasing a Service, you agree to the price, scope, and any delivery timeline stated at checkout.

  • Services are billed as one-time charges through Stripe unless otherwise stated
  • Services may have a defined delivery window, validity period, or expiration date, which will be disclosed at the point of purchase
  • Services requiring information, materials, or cooperation from you will not begin until you provide them; delays caused by your non-response do not extend any validity period
  • Services are non-refundable once work has commenced or delivery has occurred, except where required by law or in our sole discretion in cases of documented billing error
  • Purchasing a Service does not modify your subscription plan or entitle you to features of another plan

Where a Service has an expiration date, unused Services expire at that date, have no cash value, and are not refundable or transferable.

Section 9

Job Seeker Terms

This section applies to users who register as job seekers on the Platform.

Profile accuracy

Your job seeker profile is your representation to employers. You agree that all information in your profile — including work history, education, skills, certifications, and qualifications — is accurate and truthful. Misrepresenting your qualifications, fabricating work experience, or providing false information in your profile is a violation of these Terms and may result in account termination.

Application conduct

When applying to listings on the Platform, you agree to apply only to positions you are genuinely interested in and reasonably qualified for. You agree not to submit applications for purposes of data collection, competitor research, or any purpose other than genuine employment consideration.

Visibility of your information to employers

When you apply to a listing, the information in your profile and application — including your resume and contact information — is shared with the employer that posted the listing. Employers are contractually required to use that information only for hiring purposes (Section 5), but once shared, the information is in the employer’s possession and we cannot control or guarantee the employer’s compliance. Do not include information in your profile that you are not comfortable sharing with employers.

Job seeker fee commitment

KareerKomet is and will remain free for job seekers. We will not charge job seekers fees to create a profile, apply to listings, or use any core Platform feature. This commitment does not restrict our ability to offer optional paid features or services in the future, which will be clearly identified as optional at the time they are offered.

No employment guarantee

KareerKomet does not guarantee that use of the Platform will result in employment, interviews, or any employer response. The Platform is a tool for connecting employers and job seekers; we make no representations about the quality, quantity, or suitability of any listing for any individual job seeker.

Section 10

Platform Features, Matching & Automated Tools

The Platform includes automated features that organize, sort, rank, or score content, including a numeric “fit score” that compares information in a job seeker’s profile and application against information in a job listing.

These tools are informational and organizational aids only. A fit score:

  • Is a convenience feature that compares stated information; it is not an assessment, evaluation, test, or measurement of a job seeker’s skills, abilities, character, competence, or suitability for any position
  • Does not screen out, reject, filter, disqualify, or make any decision about any applicant
  • Is generated from information voluntarily supplied by users and may be inaccurate, incomplete, or misleading
  • Does not consider, and is not designed to consider, any protected characteristic

Employer obligations. Employers agree that they will not use a fit score, ranking, or any other automated Platform feature as the sole or determinative basis for any employment decision, including decisions to reject, screen out, advance, interview, or hire an applicant. Employers remain solely responsible for reviewing applications and making their own hiring decisions, and for the legal compliance of their hiring processes. Employers are solely responsible for determining whether any law applicable to them governs their use of automated tools in hiring and for complying with any such law.

Job seeker note. Fit scores are generated automatically and are visible to employers. They do not affect your ability to apply to any listing.

No warranty. Fit scores and other automated features are provided “as is” without warranty of accuracy. KareerKomet disclaims all liability arising from an employer’s use of, or reliance on, any automated Platform feature.

Section 11

General Prohibited Conduct

All users of the Platform — regardless of account type — agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to access another user’s account without authorization
  • Use automated tools, bots, scrapers, or similar means to access or collect data from the Platform without our written permission
  • Upload or transmit malware, viruses, or any malicious code
  • Attempt to reverse engineer, decompile, or otherwise access the Platform’s source code
  • Interfere with the Platform’s infrastructure, servers, or network connections
  • Harass, threaten, or abuse other users through the Platform’s messaging or communication features
  • Use the Platform to send unsolicited commercial communications (“spam”)
  • Impersonate any person, company, or organization
  • Share your account credentials with unauthorized parties
  • Post or transmit content that is defamatory, obscene, or otherwise objectionable
  • Attempt to circumvent any technical measures we use to enforce these Terms
  • Use the Platform to build, train, or improve a competing product or service, or to develop a competing job board or hiring platform
Section 12

Intellectual Property

KareerKomet's intellectual property

The Platform, including its design, code, features, branding, and content created by KareerKomet (excluding user-generated content), is owned by KareerKomet and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our express written permission.

Your content

You retain ownership of the content you submit to the Platform (job listings, profile information, messages, resumes, etc.). By submitting content, you grant KareerKomet a non-exclusive, royalty-free, worldwide license to use, store, display, reproduce, and distribute that content for the purpose of operating, promoting, and improving the Platform. This license ends when you delete the content or terminate your account, except where retention is required by law or these Terms, and except for the separate advertising license granted in Section 7.4, which is governed by that section.

Content responsibility

You are solely responsible for the content you submit. KareerKomet does not pre-screen user-generated content but reserves the right to remove content that violates these Terms or applicable law. Reporting abusive or policy-violating content is encouraged through our support system.

Copyright infringement

If you believe content on the Platform infringes your copyright, please follow the procedure described in our DMCA Policy.

Feedback

If you provide us with suggestions, feedback, or ideas about the Platform, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or compensation to you.

Section 13

Electronic Communications & Notices

By creating an account, you consent to receive communications from us electronically, including by email and through the Platform. You agree that electronic communications satisfy any legal requirement that a communication be in writing.

Transactional communications. We will send you communications necessary to operate your account — including receipts, billing notices, application and message notifications, security alerts, and Terms updates. These are not marketing messages and you cannot opt out of them while you maintain an account.

Marketing communications. We may send you marketing communications, newsletters, and job alerts. You may unsubscribe from these at any time using the link in the message or through your account settings.

Notices to us. Legal notices to KareerKomet must be sent to legal@kareerkomet.com.

Section 14

Third-Party Services

The Platform integrates with third-party services, including Stripe (payment processing), Google and Meta (advertising), and others. Your use of the Platform may be subject to those providers’ terms and privacy policies. We do not control third-party services and are not responsible for their availability, performance, policies, pricing changes, or acts or omissions. Interruptions, changes, or failures of third-party services do not entitle you to a refund.

The Platform may contain links to third-party websites. We do not endorse and are not responsible for the content or practices of those sites.

Section 15

Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES, INCLUDING ADVERTISING SERVICES, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KAREERKOMET DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT ON THE PLATFORM, INCLUDING JOB LISTINGS, JOB SEEKER PROFILES, FIT SCORES, AND ADVERTISING REPORTING, WHICH ARE PROVIDED BY USERS OR GENERATED AUTOMATICALLY AND NOT VERIFIED BY KAREERKOMET.

WE MAKE NO WARRANTY OR GUARANTEE REGARDING ADVERTISING PERFORMANCE OR RESULTS OF ANY KIND.

Section 16

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KAREERKOMET, ITS OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, HIRING OPPORTUNITY, EMPLOYMENT OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR ANY SERVICES.

IN NO EVENT WILL KAREERKOMET’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KAREERKOMET IN SUBSCRIPTION AND SERVICE FEES IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

WITH RESPECT TO ANY CLAIM ARISING FROM OR RELATING TO ADVERTISING SERVICES OR AD CREDIT, OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT OF UNEXPIRED, UNDEPLOYED AD CREDIT IN YOUR ACCOUNT AT THE TIME THE CLAIM AROSE, AND OUR SOLE OBLIGATION WILL BE, AT OUR OPTION, TO REDEPLOY OR REINSTATE THAT AD CREDIT.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If those laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.

Section 17

Indemnification

You agree to indemnify, defend, and hold harmless KareerKomet and its officers, directors, employees, members, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Platform or any Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; (d) any content you submit to the Platform, including any Employer Marks or advertising content you supply; (e) your hiring decisions or any employment relationship arising from use of the Platform; (f) your handling, use, or disclosure of Applicant Data; or (g) your use of, or reliance on, any automated Platform feature, including fit scores.

Section 18

Termination

By you: You may terminate your account at any time by requesting deletion through your account settings or by contacting us at support@kareerkomet.com. Termination does not entitle you to a refund of any prepaid subscription fees, Service fees, or Ad Credit, and all unused Ad Credit is forfeited upon termination.

By us: We may suspend or terminate your account, or remove your content, at any time and for any reason, including for violation of these Terms, with or without notice. Where possible, we will notify you before taking action. Paid employers whose accounts are terminated by KareerKomet for reasons other than Terms violations may receive a prorated refund of prepaid subscription fees at our discretion; Ad Credit remains non-refundable.

Effect of termination: Upon termination of your account, your right to access the Platform ceases, active advertising campaigns will be paused or cancelled, and all Ad Credit is forfeited. Provisions of these Terms that by their nature should survive termination — including ownership, licenses granted for advertising already delivered, disclaimers, indemnification, limitation of liability, and governing law — will survive.

Section 19

Governing Law & Dispute Resolution

Governing law. These Terms are governed by the laws of the State of Indiana, without regard to its conflict of laws principles.

Informal resolution. Before filing any formal legal claim, you agree to first contact us at legal@kareerkomet.com and attempt to resolve the dispute informally. We will attempt to resolve the issue within 30 days of receiving notice.

Venue. If informal resolution is unsuccessful, any legal action arising out of or relating to these Terms or the Platform must be brought exclusively in the state or federal courts located in Allen County, Indiana. You consent to the personal jurisdiction and venue of those courts.

Class action waiver. To the fullest extent permitted by applicable law, you waive the right to bring claims against KareerKomet as a plaintiff or class member in any class, collective, or representative action.

Section 20

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and notify you via email or a prominent notice on the Platform. For material changes, we will provide at least 14 days’ notice before the changes take effect. Your continued use of the Platform after the effective date of the updated Terms constitutes acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Platform before they take effect.

General Provisions

Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy, DMCA Policy, and any other policies referenced herein, constitute the entire agreement between you and KareerKomet regarding the Platform and supersede all prior agreements or understandings.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

No waiver: Our failure to enforce any provision of these Terms will not be construed as a waiver of our right to enforce it in the future.

Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

Force majeure: We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government action, internet or hosting failures, third-party service outages, or changes to third-party platform policies.

Relationship of the parties: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and KareerKomet, except that in providing advertising services we act as your limited agent solely for the purpose of placing advertising on the Ad Platforms on your behalf.
